Description:

Boss Holdings, Inc., a Delaware Corporation, operates through its subsidiaries. The Company's operating subsidiary is Boss Manufacturing Company, a Delaware Corporation, originally established in 1893. On October 24, 1994, the Company completed an initial public offering. The Company operates mainly in the work gloves and protective wear business segment. In addition, the Company conducts operations in the pet supplies business segment and promotional products segments. It acquired a Canadian safety products supplier in May, 2007 and a small balloon supplier for its promotional products segment in November, 2007. Through BMC, the Company imports, markets and distributes gloves, boots and rainwear products serving two main markets - consumer and industrial. The consumer market represents BMC's domestic gross product sales and consists of retailers ranging from convenience stores to mass merchandisers as well as hardware and grocery stores. The industrial market includes commercial users of gloves and protective wear. BMC products are sold to customers in the United States. The Company is now an importer and marketer. Finished goods in this segment are generally available from a number of suppliers in different countries. Since 2004, the Company has owned Galaxy Balloons, Incorporated, a Cleveland, Ohio based company operating in the promotional and products segment. Galaxy provides custom imprinted balloons, mini-sport balls, signature balls, exercise balls, beach balls and other inflatable products. In addition, Galaxy has its product line including yo-yos, juggle balls, sport horns, fan-ta-sticks, holiday candles and ornaments. Galaxy's custom imprinted products are purchased by banks, hotels and schools for advertising and promotional purposes. The Company's Pet Supply Segment operates as Boss Pet Products, Inc., a wholly owned subsidiary of BMC. Boss Pet imports, markets and distributes pet cable restraints, collars and leads, pet toys, rawhide chews, shampoos and other pet products. Boss Pet markets its products mainly to pet suppliers, hardware and discount retailers under the Prestige brand name. The Company is subject to the federal, state and local regulations concerning the environment.
